These Terms and Conditions ("Terms") apply to your use of our website and to the services provided by Buddha Vibes Technologies LLP ("we", "us", "our"), 2nd Floor, Payal Plaza, Sahastradhara Road, Dehradun, Uttarakhand 248013, India. By using our website or engaging our services, you agree to these Terms. If you are engaging us on behalf of a business, you confirm that you are authorised to accept these Terms for it.
1. Our services#
We provide digital marketing, paid advertising, search engine optimisation, website design and development, AI automation, and SaaS and custom software development. The exact scope, deliverables, timelines and fees for each engagement are set out in a written proposal, quotation, statement of work or onboarding agreement (an "Order"). If an Order conflicts with these Terms, the Order applies for that engagement.
2. Using our website#
- The content on this website is for general information. It is not professional, legal or financial advice, and we may change it at any time.
- You agree not to misuse the website, including attempting to gain unauthorised access, introducing malware, scraping it at scale, or submitting false or spam enquiries.
- Case studies, figures and examples describe past work. They do not promise the same results for your business.
3. Proposals and starting work#
Quotes are valid for 30 days unless stated otherwise. An engagement starts when you accept an Order (in writing, by email, through our onboarding form, or by paying the first invoice). Work that is not in the agreed scope will be quoted separately before we begin it.
4. Fees, invoices and taxes#
- Fees are as stated in the Order, in Indian Rupees (INR) for clients in India and in US Dollars (USD) or another agreed currency for clients outside India.
- For clients in India, GST is charged at the applicable rate in addition to our fees. Services to clients outside India are invoiced as export of services, as permitted under GST law.
- Monthly retainers are invoiced in advance at the start of each billing month. Project fees are invoiced as set out in the Order, typically with an advance before work starts.
- Invoices are payable by the due date shown on the invoice, by bank transfer, UPI or the online payment link (Razorpay or PayPal). Payment processor fees, bank charges and currency conversion costs on your side are your responsibility.
- If a client deducts tax at source (TDS), they must deposit it on time and share the TDS certificate with us.
- If an invoice remains unpaid after its due date, we may pause the work until it is settled.
5. Advertising budgets and third-party costs#
Advertising budgets (for example, Google Ads or Meta Ads spend) are paid by you directly to the advertising platform, or reimbursed to us if we pay on your behalf with your approval. These amounts are separate from our fees. Costs of third-party tools, plugins, domains, hosting, licences and stock assets are also separate unless the Order includes them. Ad spend and third-party costs already incurred are not refundable by us.
6. Cancellation and refunds#
- Monthly retainers: either party may cancel with 30 days' written notice (email is enough). Fees for the current billing month are not refundable, and work continues until the notice period ends. Any minimum term stated in the Order still applies.
- Projects: if you cancel a project, you pay for the work completed up to the cancellation date and any non-cancellable third-party costs. If your advance payment is more than this amount, we refund the difference.
- Work not started: if you cancel before any work has started, we refund the advance in full, less any payment processor fees that are not returned to us.
- Duplicate or excess payments are refunded in full.
- How refunds are paid: approved refunds are processed within 7 working days to the original payment method (or by bank transfer if that is not possible). Depending on your bank or payment provider, it may take a further 5–10 working days to reach your account.
- To request a cancellation or refund, email info@buddhavibestechnologies.com with your invoice number.
7. Your responsibilities#
- Provide accurate information, timely feedback and approvals, and the access we need (for example, to your website, ad accounts or Google Business Profile).
- Make sure that content, images, trademarks and data you give us can be lawfully used, and that you have the consents required to market to your customers.
- Comply with the policies of the platforms we use for you, such as Google, Meta and WhatsApp.
Delays in feedback, approvals or access may delay timelines. We are not responsible for such delays.
8. Intellectual property#
- Once you have paid in full, you own the final deliverables created specifically for you, such as your website design, content and custom code.
- We keep ownership of our pre-existing tools, frameworks, templates and know-how, and give you a non-exclusive licence to use them as part of the deliverables.
- Open-source software and third-party components remain subject to their own licences.
- Unless you ask us not to in writing, we may mention you as a client and show the work in our portfolio, without disclosing confidential information.
- All content on this website (text, design, graphics and logos) belongs to us or our licensors and may not be copied without permission.
9. Confidentiality and data#
Each party will keep the other's confidential information private and use it only for the engagement. Where we handle personal data on your behalf (for example, your leads or customer lists), we do so only on your instructions and in line with our Privacy Policy. A separate non-disclosure agreement can be signed on request.
10. Results and third-party platforms#
We work to agreed processes and best practice, but marketing results such as search rankings, traffic, leads and sales depend on many factors outside our control, including platform algorithms, competition and your market. We therefore do not guarantee specific results. Third-party platforms (such as Google, Meta, WhatsApp, hosting providers and payment gateways) may change their features, pricing or policies, or suspend accounts. We are not responsible for such changes or for outages of those platforms.
11. Limitation of liability#
To the extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity#
You agree to indemnify us against claims arising from content or materials you provided, your breach of these Terms, or your violation of any law or third-party rights.
13. Termination#
Either party may end an engagement if the other materially breaches these Terms or the Order and does not fix it within 15 days of written notice. On termination, you pay for work done and costs incurred up to the termination date, and we hand over completed deliverables that have been paid for.
14. Governing law and disputes#
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion for 30 days. If it cannot be resolved, the courts at Dehradun, Uttarakhand, India will have exclusive jurisdiction.
15. Changes to these Terms#
We may update these Terms from time to time. The version on this page applies from its "last updated" date. Changes do not affect an Order already accepted unless both parties agree.
